In the event of any conflict or inconsistency between these Terms and Conditions and a separately negotiated and signed Master Services Agreement ("MSA") between you and ISB Global Services Inc., the terms of the MSA shall prevail and govern. The MSA shall supersede these Terms and Conditions with respect to the subject matter set out therein.

Information Provided Deemed Untrue, Inaccurate, or Obsolete
If any information you provide is untrue, inaccurate, or obsolete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, or obsolete, we have sole discretion to suspend or terminate our business transaction and refuse all current or future access to the Website and use of the services or suspend or terminate any portion thereof.
Laws and Compliance
Information obtained from this Website is governed by federal, provincial, state privacy laws, government regulations, and we and our Partners’ information usage policies. Obtaining or attempting to obtain personal information without permissible purpose or written consent of another individual violates the FCRA and other applicable laws which will result in immediate termination of your rights to this Site.

You agree to indemnify and hold harmless ISB, its officers, directors, employees, agents, and affiliates from any claims, losses, damages, liabilities, or expenses (including legal fees) arising from your violation of these Terms or your misuse of the Website.
Limitation of Liability
To the maximum extent permitted by law, ISB shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or relating to your use of the Website, even if we were advised of the possibility of such damages.

Service
If you are a Client placing an order for services with us on a Consumer located in the United States, you confirm that:
- You certify that you have complied with 15 U.S.C. § 1681b(b)(2) before obtaining the consumer report.
- Specifically, you (1) provided a clear and conspicuous disclosure in writing to the consumer, in a document that consists solely of the disclosure, that a consumer report may be obtained for employment purposes; and (2) obtained written authorization from the consumer to procure the consumer report.
- You certify that I will comply with the requirements of 15 U.S.C. § 1681b(b)(3) if applicable, including the requirement that before taking any adverse action based in whole or in part on the consumer report, I shall provide to the consumer to whom the consumer report relates: (1) a copy of the report and (2) a description in writing of the consumer’s rights under the FCRA.
- You certify that information from the consumer report will not be used in violation of any applicable Federal or State equal employment opportunity law or regulation.
- You have read these terms and conditions, our privacy policy, and our description of each order.
If you are a Client placing an order for services with us on a Consumer located in Canada, you confirm that:
- You certify that you have collected meaningful consent from the Applicant before collecting, using, or disclosing their personal information.
- You certify that the consent was informed and expressed.
- You certify that the consent and your service request meet the criteria of applicable laws.
- You have read these terms and conditions, our privacy policy, and our description of each order.
If you are a Consumer submitting your information:
- You provide information about yourself and not about anyone else
- The information you are supplying us with is accurate, complete, and up to date.
- You have the right to disclose that information.

Information Provided Deemed Untrue, Inaccurate, or Obsolete
If any information you provide is untrue, inaccurate, or obsolete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, or obsolete, we have sole discretion to suspend or terminate our business transaction and refuse all current or future access to the Website and use of the services or suspend or terminate any portion thereof.

- For users located in Canada, these Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, and the parties submit to the exclusive jurisdiction of the courts of Ontario.
- For users located in the United States, these Terms shall be governed by the laws of the State of Ohio, without regard to its conflict of laws principles, and the parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware.
- Notwithstanding the foregoing, ISB Global Services Inc. reserves the right to seek injunctive or equitable relief in any court of competent jurisdiction.
